End-User Licence Agreement and Digital Services Terms

This End-User Licence Agreement and Digital Services Terms (the "Agreement") is between INFINITUM-UK Limited (company number 12963002), trading as Infinitum Consulting ("Infinitum", "we", "us" or "our"), and each person or organisation that accesses or uses our website, client portals, software, online tools, integrations or other digital services (together, the "Digital Services").

The Digital Services include the private QuickBooks Assistant described in section 5.

By accessing or using a Digital Service, you agree to this Agreement. If you use a Digital Service for an organisation, you confirm that you have authority to bind that organisation. If you do not agree, do not use the Digital Services.

## 1. Scope and other agreements

This Agreement governs access to and use of Infinitum's Digital Services, including:

- www.infinitum.ltd and its online functionality;
- client portals, dashboards, document areas and support tools;
- software, applications, automations and integrations made available by Infinitum;
- downloadable or online documentation and digital content; and
- the QuickBooks Assistant.

Consultancy, project-management and other professional services are governed by the relevant proposal, statement of work, engagement letter or client agreement. If a signed client agreement conflicts with this Agreement in relation to those professional services, the signed client agreement takes precedence. Third-party services remain subject to their providers' terms.

## 2. Eligibility and authority

You must be at least 18 years old and legally capable of entering this Agreement. You may use a Digital Service only for lawful business purposes and only where you have authority to access all accounts, systems and information used with it.

## 3. Licence

Subject to this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Digital Services made available to you for your internal business purposes.

No ownership rights are transferred. Features or content may be subject to additional written usage limits or permissions.

## 4. Acceptable use

You must not:

- provide access to an unauthorised person or use another person's credentials;
- copy, resell, sublicense, distribute or commercially exploit a Digital Service except with our written permission;
- reverse engineer, decompile, probe or attempt to bypass security, access or usage controls, except to the extent applicable law expressly permits this;
- introduce malicious code, scrape excessively, overload, disrupt or interfere with a Digital Service;
- use a Digital Service unlawfully, fraudulently or to infringe another person's rights;
- submit information that you are not authorised to access, use or disclose; or
- use automated output as the sole basis for a decision producing legal or similarly significant effects about a person.

## 5. QuickBooks Assistant

### 5.1 Function

The QuickBooks Assistant is a private, read-only tool that retrieves selected information from a QuickBooks Online company authorised by the user and uses OpenAI's API to generate a natural-language response. Supported functions may include company information, financial reports, customers, suppliers, invoices, bills and purchases.

### 5.2 Read-only limitation

The QuickBooks Assistant is not designed to create, edit, delete, send, pay, refund, void or otherwise change QuickBooks records. A refusal or read-only control does not replace the user's own access controls, review procedures or QuickBooks safeguards.

### 5.3 Verification and professional advice

QuickBooks Assistant responses may be incomplete, delayed or incorrect. You must verify material figures against QuickBooks, obtain qualified advice for accounting, tax, audit, legal or financial matters, maintain appropriate backups and controls, and not rely on the Assistant to meet a statutory deadline.

The Assistant's output is informational only. It is not accounting, tax, audit, legal, investment or financial advice and is not a substitute for QuickBooks or the source records.

 

### 5.4 QuickBooks authority

You confirm that you are authorised to connect and access the selected QuickBooks company and to process the information submitted through the Assistant. You must disconnect the integration and revoke Intuit authorisation when access is no longer required.

## 6. Accounts, credentials and security

You are responsible for securing your devices, accounts, API keys, passwords, access tokens and other credentials. You must promptly revoke or rotate credentials that may have been exposed and notify us at Info@Infinitum.Ltd of suspected unauthorised access.

We may require authentication, restrict access, impose reasonable usage limits or suspend access to protect users, information and systems.

## 7. User information and content

You retain rights in information and content you submit. You grant Infinitum and its service providers a limited right to host, copy, transmit, process and display that information only as needed to operate, secure, support and improve the relevant Digital Service, comply with law and enforce this Agreement.

You confirm that your information and instructions do not infringe another person's rights and that you have all required permissions and lawful bases for their use.

## 8. Data protection and confidentiality

Our handling of personal data is described in our Privacy Policy at https://www.infinitum.ltd/privacy-policy. You are responsible for ensuring your use of the Digital Services complies with applicable data-protection, confidentiality, employment and professional obligations.

Each party must protect confidential information received from the other and use it only for providing or receiving the relevant services, except where disclosure is authorised or required by law. This section does not replace a more specific confidentiality or data-processing agreement between the parties.

## 9. Third-party services and charges

The Digital Services may depend on or link to third-party services, including Wix, QuickBooks Online from Intuit, OpenAI's API, application hosting, analytics and internet connectivity. Third-party terms, privacy notices, availability, usage limits and charges apply separately.

You are responsible for charges associated with accounts or services supplied directly to you. We do not control and are not responsible for changes, interruptions or withdrawal of a third-party service, except where applicable law does not allow responsibility to be excluded.

## 10. Intellectual property

The Digital Services, including their software, design, branding, documentation and content, remain owned by Infinitum or its licensors. This Agreement grants a right to use them and does not transfer ownership.

Infinitum, QuickBooks, Intuit, OpenAI and other names, logos and materials remain the property of their respective owners. No right to use a trade mark is granted except as necessary to identify and use the relevant service.

## 11. Availability, support and changes

Digital Services may be changed, updated, suspended or withdrawn for maintenance, security, legal, cost or operational reasons. We do not guarantee uninterrupted or error-free availability unless a separate written agreement expressly states otherwise.

We may update this Agreement by publishing a revised version and date. Material changes will apply prospectively, with additional notice where reasonably practicable.

## 12. Disclaimers

Digital Services are provided on an "as available" basis. To the maximum extent permitted by law, we exclude implied warranties or conditions concerning satisfactory quality, fitness for a particular purpose, accuracy and non-infringement.

Website and Digital Service content is general information and is not professional advice. You remain responsible for decisions, actions, source-data checks and obtaining appropriate professional advice. Nothing in this Agreement limits rights or obligations that cannot lawfully be excluded.

## 13. Liability

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

Subject to that, Infinitum is not liable for indirect or consequential loss, or loss of profit, revenue, business, anticipated savings, goodwill or data, arising from use of a Digital Service. Infinitum is not responsible for loss caused by failure to verify automated output or source records, unauthorised credential use outside our control, or interruption of a third-party service.

To the maximum extent permitted by law, Infinitum's total aggregate liability arising from the Digital Services in any 12-month period is limited to the greater of £100 and the amount paid directly to Infinitum for the affected Digital Service during that period.

Any different liability provisions in a signed client agreement take precedence for the services governed by that agreement.

## 14. Suspension and termination

You may stop using a Digital Service at any time. Where applicable, you should export information you need and disconnect linked third-party accounts.

We may suspend or terminate access where we reasonably believe there is a security risk, unlawful use, material breach, non-payment, third-party-service restriction, or a need to protect Infinitum, users or third parties. Where reasonably practicable, we will provide notice and an opportunity to remedy the issue.

On termination, the licence ends. Provisions concerning confidentiality, intellectual property, liability, governing law and other matters intended by their nature to survive will continue to apply.

## 15. General

If part of this Agreement is unenforceable, the remaining provisions continue in effect. A delay in enforcing a right is not a waiver. You may not transfer this Agreement without our written consent. We may transfer it as part of a business reorganisation or transfer of the relevant Digital Service, provided this does not reduce mandatory rights.

This Agreement and any non-contractual dispute arising from it are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory law gives a user the right to bring proceedings elsewhere.
